Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and Apex Radius Inc. ("Apex Radius", "we", "us"), governing your use of Vardra — our end-to-end encrypted, zero-knowledge password manager — including its apps, browser extensions, websites, and sync services (together, the "Service"). By creating an account or using the Service, you agree to these Terms.

1. Eligibility and accounts

You must be at least the age of majority in your jurisdiction to buy a subscription, and at least 13 to use the Service under a parent or guardian. You are responsible for the activity under your account and for keeping your credentials accurate and current.

2. The zero-knowledge model and your responsibility

Vardra encrypts your vault on your device before anything is synced. We never receive your master password, your Secret Key, or your plaintext vault contents, and we cannot read, recover, or reset them. This is a deliberate security guarantee, not a limitation we can override.

You are solely responsible for safeguarding your master password, Secret Key, devices, and recovery material (including any Emergency Kit). If you lose all of your credentials and recovery material, your vault cannot be decrypted by anyone, including us, and the data will be permanently inaccessible. We strongly recommend generating and securely storing your recovery material.

3. Subscriptions, billing, and taxes

Paid plans are billed in advance through our payment processor, Stripe, on a monthly or annual basis as selected at checkout. Current plans and prices are: Personal (US$4.99/month or US$44.99/year), Family (US$7.99/month or US$79.99/year, up to 6 members), and Teams (US$5.99/seat/month or US$59.99/seat/year). Prices are in US dollars and exclusive of any applicable taxes (including Canadian GST/HST), which will be added where required.

Subscriptions renew automatically at the then-current price for the same term unless you cancel before the renewal date. We will give you reasonable advance notice of any price change before it applies to your renewal; continuing after the change takes effect constitutes acceptance of the new price.

4. Free trial

We may offer a 14-day free trial. Unless you cancel before the trial ends, your subscription begins and the applicable fee is charged automatically. Only one trial is available per customer.

5. Cancellation and refunds

You may cancel at any time from your account; cancellation stops the next renewal and your plan remains active through the end of the paid period. Refunds are governed by our Refund Policy, which is incorporated into these Terms.

6. Acceptable use

Your use of the Service is subject to our Acceptable Use Policy. You may not use Vardra to break the law, attack or probe systems without authorization, distribute malware, infringe others' rights, or interfere with the Service or other users.

7. Licence and intellectual property

We grant you a personal, non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose while your account is in good standing. Vardra, its software, and its trademarks remain the property of Apex Radius and its licensors. You retain all rights to your own vault data.

8. Third-party services

The Service relies on third parties to function, including Stripe (payments), Resend (transactional email), and Cloudflare (hosting and sync infrastructure). Their handling of data is described in our Sub-processors list and Privacy Policy.

9. Service availability and changes

We work to keep the Service reliable but do not guarantee uninterrupted availability. We may update, suspend, or discontinue features for security, legal, or product reasons. Vardra is local-first: we aim to preserve access to your local vault even when sync is unavailable.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. No security product can guarantee absolute protection; you are responsible for keeping your devices patched and revoking access you no longer trust.

11. Limitation of liability

To the fullest extent permitted by law, Apex Radius will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, including data rendered inaccessible because credentials or recovery material were lost. Our total aggregate liability for any claim relating to the Service is limited to the amount you paid us for the Service in the 12 months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

12. Indemnification

You agree to indemnify and hold Apex Radius harmless from claims, losses, and expenses arising out of your misuse of the Service or your breach of these Terms.

13. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access if you materially breach these Terms or the Acceptable Use Policy, or where required by law. On termination you remain able to retain locally stored vault data subject to your continued possession of your credentials.

14. Governing law and disputes

These Terms are governed by applicable Canadian law, without regard to conflict-of-laws rules, except where mandatory consumer-protection laws of your place of residence provide otherwise.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by updating the effective date above and, where appropriate, by notice to you. Continued use after changes take effect constitutes acceptance.
